English

This English version is provided for reference. If there is any inconsistency, the Japanese version prevails.

Article 1 (Application)

These Terms set out the conditions for using Aizuchi (the "Service") provided by Craval Inc. ("we"). Organizations that use the Service ("Customers") and their users must use the Service in accordance with these Terms. If a Customer and we sign a separate agreement, that agreement prevails over these Terms.

Article 2 (Formation of the agreement)

An agreement between the Customer and us is formed when the Customer's administrator connects a Zoom account to the Service, agrees to these Terms on the setup screen, and creates the administrator account. Paid plans are formed through our application process or a separate agreement.

Article 3 (The Service)

The Service provides call list management, call records, recording playback, and AI call summaries and scoring for outbound calling with Zoom Phone. Customers need a Zoom Phone subscription and must connect their Zoom account to the Service.

Article 4 (Accounts)

Customers are responsible for managing their users' accounts and passwords. Actions taken with an account are deemed to be taken by the Customer, except where caused by reasons attributable to us.

Article 5 (Fees)

Fees and payment terms for paid plans are set out in our application form or in a separate agreement. Customers without a paid plan may use the Service free of charge within the scope we specify.

Article 6 (Customer responsibilities)

・Customers must comply with laws that apply to telephone solicitation and call recording, including, where applicable, Japan's Act on Specified Commercial Transactions and Act on the Protection of Personal Information.

・Customers must provide any notice or obtain any consent required by applicable law for call recording, transcription, and AI processing.

・Customers warrant that the information in their call lists was lawfully obtained and that they are entitled to process it in the Service.

Article 7 (Prohibited conduct)

・Conduct that violates laws or public order

・Conduct that violates telephone solicitation laws, such as calling people who have declined further solicitation

・Unauthorized access to, or placing excessive load on, the Service or third-party systems

・Reverse engineering the Service, or reselling or sublicensing it to third parties

・Other conduct that we reasonably consider inappropriate

Article 8 (Zoom integration)

The Service uses APIs provided by Zoom Communications, Inc. Changes to Zoom's specifications or terms, or Zoom outages, may make part or all of the Service unavailable. Your use of Zoom is governed by Zoom's terms.

Article 9 (AI output)

AI summaries and scores are for reference only, and we do not guarantee their accuracy or completeness. Customers use them at their own discretion.

Article 10 (Data)

We acquire no rights in the information Customers enter or in their call data. This does not affect the rights of the people called or of other third parties. We handle this data only as needed to provide the Service, in accordance with our Privacy Policy.

Article 11 (Intellectual property)

All intellectual property rights in the Service belong to us or to the rightful owners.

Article 12 (Cancellation)

Customers may cancel the agreement at any time by notifying us in the manner we specify (including by email to support@aizuchi.craval.jp). For paid plans, the cancellation date and fees follow the application form or separate agreement.

Removing (uninstalling) the Aizuchi app from Zoom does not terminate a paid plan.

Article 13 (Suspension, termination and discontinuation)

・We may suspend all or part of the Service for maintenance, incident response or other unavoidable reasons.

・If a Customer breaches these Terms and fails to cure the breach within a reasonable period after our request, we may terminate the agreement.

・If a breach is likely to cause serious harm to us or to third parties, we may suspend access immediately without requesting a cure.

・We may discontinue the Service with at least 30 days' notice. In that case, we will provide a way for Customers to export the information they entered.

Article 14 (Disclaimer and limitation of liability)

We do not warrant that the Service will fit a Customer's particular purpose or be free of interruptions or errors.

If we are liable to a Customer for damages, our liability is limited to ordinary and direct damages, up to the greater of the fees the Customer paid for the Service in the 12 months before the damage occurred and JPY 100,000. This limitation does not apply in cases of our willful misconduct or gross negligence.

Article 15 (Changes to these Terms)

We may change these Terms if the change is in the general interest of Customers, or if the change does not conflict with the purpose of the agreement and is reasonable in light of the need for the change, the appropriateness of the new terms, and other circumstances. We will announce the changes and their effective date in the Service or on this page a reasonable period before they take effect.

Article 16 (Governing law and jurisdiction)

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes relating to the Service.
